TRAVEL DYNAMICS, INC. (THE "COMPANY") IS WAITING FOR THE COMPLETION
OF ITS UNAUDITED FINANCIAL STATEMENT TO BE INCLUDED IN ITS REPORT ON
FORM 10-QSB FOR THE QUARTER ENDED SEPTEMBER 30, 2000. THE COMPLETION OF
SUCH REPORT HAS BEEN DELAYED DUE TO MANAGEMENT'S REVIEW OF CERTAIN

amendments thereto must be completed and filed with the Securities and
Exchange Commission, Washington, D.C. 20549, in accordance with Rule 0
3 of the General Rules and Regulations under the Act. The information
contained in or filed with the form will be made a matter of public
record in the Commission files.
3. A manually signed copy of the form and amendments thereto shall be
filed with each national securities exchange on which any class of
securities of the registrant is registered.

Attachment:
During our preparation of the first quarter Form 10-QSB, we located
possible errors in our Form 10-KSB for the year ended June 30, 2000.
This error may result in the overstatement of our revenues and
expenses. However, these errors or the actual existence of the
errors have not been examined by our auditors, thus a reasonable
estimate of the errors cannot currently be made. If these errors are
substantiated, we will file an amended Form 10-KSB as well as the
first quarter Form 10-QSB by the filing deadline.
