SUPPLEMENT TO PROSPECTUS
DATED JULY 30, 1993
At a Special Meeting of the Board of Directors held on March 8, 1994,
the Board approved a plan to liquidate and distribute to shareholders the
assets of the Fund and to close out Fund shareholder accounts. The
liquidation is expected to occur on or about April 18, 1994.
In anticipation of liquidation, effective March 17, 1994, the Fund will be
closed to new investments and, effective March 31, 1994, the Fund will be
closed to subsequent investments by shareholders.
