State below in reasonable detail the reasons why Form 10-K, 20-F,
11-K, 10-Q, N-SAR, or the transition report or portion thereof,
could not be filed withing the prescribed period. (Attach Extra

The September 30, 1997 Form 10-QSB has been delayed due to
the unexpected resignation of the Company's Controller. This resig-
nation has presented considerable hardship in getting the books
closed so that the Form 10-QSB can be prepared. In addition, this
"Notification of Late Filing" was delayed because the hard drive of
the computer used to submit EDGAR filings crashed over the weekend
and the data could not be retrieved.
