                            SUPPLEMENT TO PROSPECTUS
                              DATED APRIL 10, 1995
        At a meeting of the Board of Trustees held on July 26, 1995, the 
Board approved a plan to liquidate the Fund and distribute to shareholders 
the assets of the Fund and to close out Fund shareholder accounts. The 
liquidation is expected to occur on or about September 15, 1995. In 
anticipation of the Fund's liquidation, effective August 2, 1995, the Fund 
will be closed to any new or subsequent investments.
