thereof could not be filed within the prescribed time period.

The Company's Controller resigned during 1997
and an outside consultant has been hired to take over the
Company's accounting functions. In addition, the
Company changed auditors (which was previously
reported on Form 8-K). Because of these changes, the
report cannot be completed within the prescribed 90-day
period for filing the annual report on Form 10-K. The
Company expects to file a complete report within the
extended fifteen day time period.
