              The registrant's annual report on
       Form 10-KSB is being filed late due to
       delays associated with the Company's
       upcoming move to new facilities, and
       delays by the Company in providing the
       documentation necessary for completing
       the audit for the fiscal year ended
       December 26, 1999.
