This Amendment No. 6 to the Tender Offer Statement on Schedule 14D-1
(as amended prior to the date hereof, the "Schedule 14D-1") and Amendment No. 13
to Schedule 13D relates to the offer by DP/SU Acquisition Inc., a Delaware
corporation ("Purchaser") and an indirect wholly owned subsidiary of Cadbury
Schweppes plc, a company organized under the laws of England, to purchase all
outstanding shares of Common Stock, par value $.01 per share (the "Common
Stock"), of Dr Pepper/Seven-Up Companies, Inc., a Delaware corporation (the
"Company"), and the associated preferred stock purchase rights (the "Rights"
and, together with the Common Stock, the "Shares") issued pursuant to the Rights
Agreement, dated as of September 1, 1993 (as amended), between the Company and
Bank One, Texas, N.A., as Rights Agent, at a price of $33.00 per Share, net to
the seller in cash, upon the terms and subject to the conditions set forth in
Purchaser's Offer to Purchase dated February 1, 1995 (the "Offer to Purchase")
and in the related Letter of Transmittal, copies of which were attached to the
Schedule 14D-1 as Exhibits (a)(1) and (a)(2) thereto, respectively. The Schedule
14D-1 was initially filed with the Securities and Exchange Commission on
February 1, 1995.
Capitalized terms used but not defined herein have the meanings
ascribed to such terms in the Offer to Purchase and the Schedule 14D-1.
ITEM 10. ADDITIONAL INFORMATION.
Item 10(f) is hereby amended and supplemented by adding to the end thereof
the following:
On February 27, 1995, Parent held the Parent Stockholders Meeting at which
Parent received the requisite affirmative vote of the holders of ordinary
shares of Parent approving the Offer and the other transactions contemplated
by the Merger Agreement. A copy of the press release issued by Parent on
February 27, 1995 relating to the foregoing is attached hereto as
Exhibit (a)(11) and is incorporated herein by reference in its entirety.

UNDERWRITTEN ENHANCED SCRIP DIVIDEND ALTERNATIVE
RESULTS OF EXTRAORDINARY GENERAL MEETING
London, February 27, 1995 -- The Board of Cadbury Schweppes Public Limited
Company (NASDAQ: CADBY) announced that, at an Extraordinary General Meeting of
the Company held earlier today, resolutions were passed approving inter alia:
- the Tender Offer by the Company for Dr Pepper/Seven-Up Companies,
Inc. ("DPSU"); and
- the Underwritten Enhanced Scrip Dividend Alternative ("UESDA").
The last time for election to accept the UESDA and the related Kleinwort
Benson Cash Offer is 3:00 p.m. today, Monday, February 27, 1995. Dealings in
new Ordinary Shares arising under the UESDA are expected to commence on
Tuesday, February 28, 1995.
The latest time for acceptance and payment of the First Instalment of the
Rights Issue is also 3:00 p.m. today, Monday, February 27, 1995. Dealings in
partly-paid Stock Units arising under the Rights Issue are expected to
commence on Tuesday, February 28, 1995.
The Tender Offer for DPSU will expire at midnight New York City time on
Wednesday, March 1, 1995 unless it is extended.
