     This  Amendment  No. 2 further  amends the  Schedule  13D in the  following
respects.

ITEM 4.     PURPOSE OF TRANSACTION.


     On  February  11,  1998 the  Trust  entered  into  Underwriting  Agreements
pursuant to which it sold 5,020,204 shares of Common Stock of Walter Industries,
Inc. and granted the Underwriters and the International Managers  over-allotment
options to purchase an additional  450,460  shares of Walter  Industries  Common
Stock.

ITEM 5.     INTEREST IN SECURITIES OF THE ISSUER.

     After the sale discussed in Item 4 above,  the Trust owns 5,921,122  shares
of Common Stock of Walter Industries, Inc. It has also granted 30-day options to
the Underwriters and the International  Managers,  to whom the sale was made, to
purchase an additional 450,460 shares of Walter Industries Common Stock.

ITEM 6. CONTRACTS, ARRANGEMENTS, UNDERSTANDINGS OR RELATIONSHIPS WITH RESPECT TO
        SECURITIES OF THE ISSUER.

     The Trust has granted to the  Underwriters and the  International  Managers
mentioned  in Item 4,  30-day  options  to  purchase  450,460  shares  of Walter
Industries Common Stock.
