As of July 1, 1996, Franklin Advisory Services, Inc., One Parker Plaza,
Sixteenth Floor, Fort Lee, New Jersey, 07024 ("Franklin New Jersey") replaced
Franklin Advisors, Inc. (Advisers), as the Manager for the Rising Dividends and
Investment Grade Intermediate Bond Funds ("Funds"). Franklin New Jersey and
Advisers are direct wholly owned subsidiaries of Franklin Resources, Inc.

As of July 1, 1996, Franklin Advisory Services, Inc., One Parker Plaza,
Sixteenth Floor, Fort Lee, New Jersey, 07024 ("Franklin New Jersey") replaced
Franklin Advisors, Inc. (Advisers), as the Manager for the Rising Dividends and
Investment Grade Intermediate Bond Funds ("Funds"). Franklin New Jersey and
Advisers are direct wholly owned subsidiaries of Franklin Resources, Inc.
There is no change in the individuals primarily responsible for the day-to-day
operations of these Funds, and the material terms of the Funds' management
agreements with Franklin New Jersey, including fees, are the same as those of
the prior management agreement with Advisers.
Advisers through an agreement with Franklin New Jersey, continues to provide
certain administrative facilities and services for the Funds. The fees paid for
these administrative services are not separate expenses of the Funds, but are
paid by Franklin New Jersey from its management fee.
