Explanation of Responses: The aggregate of 1,573,197 shares beneficially owned
by Mr. Fred Sullivan at the end of January 1998, as shown in column 5 includes
(i) 5,000 shares acquired by Mr. Sullivan in September 1997 and owned directly
by him, (ii) 903,024 shares transferred to a Delware Limited Liability Company ,
(iii) the shares underlying the 336,250 warrants-also transferred to the LLC,
(iv) 208,923 shares of Common Stock owned by the Franc M. Ricciardi Residuary
Trust, of which Mr. Sullivan is sole trustee, and (v) options to acquire 90,000
shares of Common Stock (but not including options to acquire 30,000 shares not
presently excercisable.) The foregoing aggregate number of shares does not
include (a) 407,000 shares owned by Fred A. Sullivan-Mr. Sullivan's son, and (b)
27,000 shares owned by Mr. Sullivan's wife, as to each of which Mr. Sullivan
disclaims any beneficial ownership.
