State below in  reasonable  detail the reasons  why the form 10-K,  11-K,  10-Q,
N-SAR, or the transition  report or portion  thereof,  could not be filed within
the prescribed time period.


         Because of the  refinancing  of its  senior  secured  indebtedness,  as
reported  in the  registrant's  Current  Report on Form  8-K,  as  amended,  for
February 15, 2000,  the  completion of the audit of the  registrant's  financial
statement was delayed.  This delay has resulted in a delay in the  completion of
the  registrant's  annual report on Form 10-KSB for the year ended  December 31,
1999.

         As reported in the  registrant's  quarterly  reports on Form 10-QSB for
         the first three  quarters of 1999,  the  registrant's  operations  were
         adversely  affected  by the  declines in prices for oil and natural gas
         and the resulting  impact on the demand for the  registrant's  services
         and its operating results. The Registrant's revenues for the year ended
         December 31, 1999 will be lower than for the prior year. The Registrant
         expects to report a loss for the year ended December 31, 1999.
