Item 5. OTHER EVENTS
On January 12, 2001, the Registrant issued a press release (a copy of
which is filed herewith as Exhibit 99.1 and is incorporated herein by
reference) announcing that its subsidiaries had commenced litigation in
Orange County Superior Court challenging the California Coastal Commission's
suggested modifications to the Bolsa Chica Local Coastal Program that would
limit development of the 230-acre Bolsa Chica Mesa to only 65 acres.
