The Company continues to experience conversion problems with the new accounting
software and together with accounting staff reductions has caused delays in
finalizing the fiscal year end financial statements.

The loss of approximately $8.2 million for the year ended March 31, 2000
compared to last fiscal year's of $5.4 million resulted from further deteriorate
in gross margins, loss on sale of building and higher interest expense.
