GPU, GPC and EI hereby amend their Application on Form
U-1, docketed in SEC File No. 70-8369, as follows:
1. By adding the following sentence at the end of
Paragraph B of Item 1 thereof:
"Upon the acquisition by EI of the Cogen Corp.
Stock, Cogen Corp. will become a wholly-owned
subsidiary of EI."
2. By adding the following sentence at the end of
Paragraph G of Item 1 thereof:
"EI will fund any preliminary project development
costs with respect to Cogen Corp.'s Development
Projects either through internally generated
funds, the authorization heretofore granted by the
Commission in SEC File No. 70-7727, as the same
may be amended, or to the extent required,
pursuant to further Commission authorization."
