The undersigned, Energy Initiatives, Inc. ("EI") and NCP
Energy, Inc. ("NCP"), hereby certify pursuant to Rule 24 of the
Rules and Regulations under the Public Utility Holding Company
Act of 1935 (the "Act"), that certain of the transactions
proposed in the Application, as amended, filed in SEC file No.
70-8533, have been carried out in accordance with the
Commission's Orders dated January 3, 1996, June 22, 1995 and
March 1, 1995, as follows:
1. On March 27, 1996, NCP distributed to EI, by way of a
dividend, all the capital stock of the following subsidiaries of
NCP: NCP Commerce Power Incorporated, NCP Ada Power
Incorporated, NCP Lake Power Incorporated, NCP Gem Incorporated,
NCP New York Incorporated, NCP Houston Power Incorporated and NCP
Perry Incorporated.<PAGE>
