Registrant's Form 10-KSB for the period ending September 30, 1999 could not
be filed in a timely manner as the Registrant's financial statements have not
been completed for the corresponding period. This development has prevented the
Registrant from filing the Form 10-KSB in a timely manner without unreasonable
effort and expense to the Registrant.
