On September 16, 1996, the Registrant engaged BDO Seidman, LLP. as the
Registrant's independent certified public accountant to report on the Company's
financial statements for the fiscal year ended June 30, 1996, and the financial
statements of Registrant's parent, Chantal Pharmaceutical Corporation for the
year ended June 30, 1996. In the past two years and any interim period,
neither the Registrant nor its parent have consulted with BDO Seidman, LLP.
on the application of accounting principles or the type of audit opinion
or any other matter.
