     The Registrant has primarily devoted its resources and the attention of 
its personnel to the further development of its business and, accordingly, the 
Registrant is not able to file its quarterly report on Form 10-QSB for the 
quarter ended March 31, 1998 within the prescribed time period without 
unreasonable effort and expense.
