the prescribed time period.
The Company is currently negotiating a significant restructuring of its
debentures. The statement and notes cannot be finalized until an agreement has
been reached which is anticipated in the near future. In addition the Company
has recently installed new computer hardware and software to comply with
"Year 2000" requirements which has significantly delayed preparing for year
end and as a consequence our annual audit.
