HOW THE FUND IS MANAGED
MANAGER
Effective May 31, 1996, the fixed-income portion of the Fund's portfolio
will be managed by Earl E. McEvoy, a Senior Vice President and Partner of
Wellington Management Company. Mr. McEvoy has been an investment professional
with Wellington Management Company since 1978 and currently manages significant
assets for a variety of the firm's institutional and mutual fund clients.
