State below in reasonable  detail the reasons why the Form 10-K and Form 10-KSB,
11-K, 20-F, 10-Q and Form 10-QSB,  N-SAR, or other transition  report or portion
thereof, could not be filed within the prescribed period.

Due  to  the  resignation  of  the  registrants  Chief  Financial  Officer,  the
registrant  is delayed in  completing  closing of its  accounting  records.  The
registrant is making efforts to close accounting records,  for the period ending
November 30, 1999.

cannot be made.

The registrant  anticipates  reporting a net loss of  approximately  $950,000 to
$1,000,000  for the three month period ended  November 30, 1999 as compared to a
net loss of $1,264,211 reported for the three months ended November 30, 1998 and
a net loss of  $1,415,403  reported  for the three months ended August 31, 1999.
The  Company's  revenue  for  the  three  months  ended  November  30,  1999  is
anticipated  to be  approximately  $65,000  compared to  $117,868  for the three
months ended November 30, 1998. The Company's revenue has decreased as it begins
an attempt to transition from its Y2K remediation business to new product lines.
