The Fund's  business is to provide  financing to persons who qualify under Small
Business Administration  regulations as socially and economically  disadvantaged
persons.  The Fund will not make any new investments;  however, it will continue
to  service  existing  financings  until  the

expiration of the terms of such financings. When all financings have terminated,
the Fund intends to wind up its affairs and dissolve under New York law.
