State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-
Q, N-SAR, or the transition report or portion thereof, could not be filed
within the prescribed time period. (Attach Extra Sheets if Needed).
The filing of the subject Form 10-Q will be delayed due to minor surgery
undergone by the Company's principal accounting officer, which has
delayed the preparation of the Company's consolidated financial
statements as of and for the period ended August 31, 1996.
The Company reported a loss from continuing operations of $601,000 for
the quarter ended July 31, 1995, and a net loss of $821,000 for the
quarter ended July 31, 1995. The Company currently estimates that the
loss from continuing operations and net loss for the quarter ended August
31, 1996 will be in excess of those amounts, but is presently unable to
reasonably estimate the loss.
