The filing of the subject Form 10-Q will be delayed due to a death in the
family of a person who assists in the preparation of the Company's
reports, and the resulting unavailability of that person until July 15.

The Company reported a net loss of $597,000 for the six months ended
May 31, 1996. It is currently anticipated that a net loss, in the
range of $900,000 to $1,100,000, will be reported for the six months
ended May 31, 1997. Losses in the half of the company's fiscal year
are consistent with the seasonality of the company's business.
