SAR, or the transition report or portion thereof, could not be filed within the

The subject report on Form 11-K could not be filed within the prescribed
time period because information required for its completion and filing is not
yet available due to delays incurred by management in completing the supporting
materials necessary for Arthur Andersen LLP to conclude its audit of the Mercury
Finance Company Retirement Savings Plan. Management has incurred delays as a
result of the previously disclosed accounting irregularities with respect to the
Registrant and management's focus on completion of the Registrant's financial
statements. The Registrant will attempt to file the Form 11-K on or before the
fifteenth calendar day following the prescribed due date.
