Information needed to complete the financial statements of the Company's wholly
owned subsidiaries was not available. The information will be available August
11, 2000, and the subsidiary's financial information will be used to complete
the Company's consolidated financial statements. The Company's independent
auditors have been contracted and will complete their review of the financial
statements which will accompany the corresponding Form 10QSB for the period
ended June 30, 2000.
