State below in reasonable detail the reasons why the Form 10-K, 11-K,
10-QSB, N-SAR, or the transition report or portion thereof, could not be
filed within the prescribed time period.
The Annual Report on Form 10-K of Sunrise Technologies International, Inc.
(the "Registrant") will not be completed by March 31, 1998, the last day
for a timely filing of such Annual Report for the period ended December 31,
1997.
Additional time is required in order to enable the Registrant to file a
complete and accurate report without unreasonable effort or expense. The
Registrant is waiting for its former auditors to complete their audit
procedures. The Form 10-K will be filed on or before April 15, 1998 in
accordance with Rule 12b-25(b).
