State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within 
the prescribed time period.  (Attach Extra Sheets if Needed)


      The Annual Report on Form 10-K for the year ended December 31, 1998 of 
VSI Enterprises, Inc. (the "Company") cannot be timely filed, without 
unreasonable effort and expense, because the Company requires additional time 
to properly prepare financial statements for the period for the reasons set 
forth below. The Company represents that the reasons for its inability to 
timely file its Form 10-K could not be eliminated without unreasonable effort 
or expense.

      During the first quarter of 1999, the Company was in negotiations to
restructure certain of its outstanding indebtedness. Completion of the audit of
the Company's financial statements for the fiscal year ended December 31, 1998
was delayed pending the outcome of these negotiations. In addition, recent
changes in the Company's finance and accounting staff have contributed to the
delayed completion of the audit.

         why a reasonable estimate of the results cannot be made:

      For the year ended December 31, 1998, the Company expects to report
revenues of approximately $19.4 million, as compared to revenues of $19.6
million for fiscal 1997. The Company's net loss for the year ended December 31,
1998 is expected to be approximately $16.9 million, as compared to a net loss of
$5.8 million for fiscal 1997. The fiscal 1998 revenue decrease resulted
principally from the discontinuation of certain of the Company's non-core
operations during the period. The fiscal 1998 net loss will include
approximately $10.3 million of non-recurring charges relating to the
discontinuance of certain of its operations, inventory write-downs and goodwill
impairment charges.

                              GENERAL INSTRUCTION

1.       This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the
         General Rules and Regulations under the Securities Exchange Act of
         1934.

2.       One signed original and four conformed copies of this form and
         amendments thereto must be completed and filed with the Securities and
         Exchange Commission, Washington, D.C. 20549 in accordance with Rule 0-3
         of the General Rules and Regulations under the Act.  The information
         contained in or filed with the form will be made a matter of public
         record in the Commission files.

3.       A manually signed copy of the form and amendments thereto shall be
         filed with each national securities exchange on which any class of
         securities of the registrant is registered.

4.       Amendments to the notifications must also be filed on form 12b-25 but
