State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report portion thereof, could not be filed within the
prescribed time period.
The Company's Form 10-Q could not be filed on August 14, 2000, the required
filing date, due to the unavailability of certain financial information
necessary to complete the Form 10-Q. Specifically, audits related to certain
acquisitions were not completed in time to incorporate and roll forward
financial statement information for consolidation.

It is anticipated that the Company's results of operations for the quarter ended
June 30, 2000 will reflect a significant change as compared to the comparable
period in the prior year due to the fact that the Company did not have
significant operations during the first and second quarter of 1999.

0-3 of the General Rules and Regulations under the Act. The
