PART III - NARRATIVE
State below in reasonable detail the reasons why the Form 10-K and Form 10-KSB,
11-K, 20-F, 10-Q and Form 10-QSB, N-SAR, or other transition report or portion
thereof, could not be filed within the prescribed period.
The Company hired a new controller in October 1999 and its Chief Financial
Officer resigned effective April 28, 2000. In addition, the Company has recently
completed the transition to its upgraded computer and information management
systems. These events resulted in delays in completing the Company's financial
statements for the quarter ended March 27, 2000. As a result of these delays,
the Company is unable to file its Form 10-Q on the prescribed due date without
unreasonable effort or expense.
