As disclosed in a recent Form 8-K Current Report, the registrant
changed accountants from Ernest & Young LLP to Deloitte & Touche LLP. This
change has caused delays between the firms in assimilating the information from
the registrant necessary for Deloitte & Touche to finalize its audit.

During the fiscal year ended March 31, 1996, the registrant had no
revenues as it was in the process of recommissioning its steel mill facilities
acquired in November 1995. During the fiscal year ended March 31, 1997 the
registrant continued to incur substantial expenses in recommissioning the steel
mill facilities; however, the registrant enjoyed its first revenues from the
facility, estimated at $733,000 for the fiscal year. The registrant anticipates
reporting a loss in excess of $2,000,000 for the 1997 fiscal year as compared to
a loss of $2,009,273 for the 1996 fiscal year. The 1996 loss included a
one-time compensation charge to expense of $1,561,175.
