We are the independent auditors of Nona Morelli's II, Inc., (the "Registrant").
The Registrant has stated in Part III of its filing Form 12b-25 that is unable
to timely file, without unreasonable effort or expense, its Annual Report on
Form 10-KSB for the period ended June 30, 1996. This firm is unable to render
its report on or before September 28, 1996 because our firm has not yet
completed our audit of the financial statements of the Registrant for the period
ended June 30, 1996.
