Due to the Registrant's acquisition on June 27, 1996 of MediaX, a California
corporation, through its wholly-owned subsidiary, Zeitgeist, Inc., the
Registrant has been unable to provide its accountants with all of the
information necessary to complete and file its Form 10-QSB in a timely manner,
and as a result the report will not be filed by the current due date.
