The report cannot be so filed because as a result of a material acquisition
the Registrant needs more time to prepare certain requisite financial
information.

It is anticipated that the Registrant had an approximate 76% increase in
revenues for the six months ended September 30, 1998 as compared to the
corresponding period for the last fiscal year, $1,001,103 versus $569,109,
respectively. The loss for the six months ended September 30, 1998
was 34% less then the loss for the six months ended September 30, 1997,
($175,534) versus ($267,123), respectively. This was primarily the result of
the addition of operations from acquisitions made by The Registrant.
