PART III - NARRATIVE
State below in reasonable detail the reasons why the Form 10-K, 11-K, 20-F,
10-Q, or N-SAR or portion thereof, could not be filed within the
prescribed time period.
The report cannot be so filed because the Registrant was in the process
of completing an asset purchase which involved the assimilation of
new procedures into its operations and additional time and effort
was needed to consolidate the new operation into the Registrant's financial
accounting system.

It is anticipated that the Registrant had an approximate 100% increase in
revenues for the quarterly period ended June 30, 1998 as compared to the
corresponding period for the last fiscal year, $555,822 versus $277,061,
respectively. The loss for the quarterly period ended June 30, 1998 was 54%
less then the loss for the quarter ended June 30, 1997, ($60,255)
versus ($131,324), respectively. This was primarily the result of the
addition of operations from an acquisition made by The Registrant in December
of 1997.
