PART III - NARRATIVE
State below in reasonable detail the reasons why the Form 10-K and Form 10-KSB,
11-K, 20-F, 10-Q and Form 10-QSB, N-SAR, or other transition report or portion
thereof, could not be filed within the prescribed period.
The Registrant is unable to timely file its report on Form 10-K for the
fiscal year ending March 31, 2000 without unreasonable effort or expense,
because during the audit process for the fiscal year 2000: (a) the Registrant
hired a new chief financial officer charged with working with the accountants;
(b) the Registrant dismissed McGladry & Pullen, LLP as its accountants; and (c)
the Registrant hired Deloitte & Touche, LLP as its new accountants. The
occurrence of all three events between April and May of the audit period of the
Registrant's first full year of audited financials has delayed the Registrant's
ability to file its Form 10-K in the prescribed time period. The Registrant has
filed a form 8-K regarding the dismissal of McGladry & Pullen, LLP, as its
current accountants, and the hiring of Deloitte & Touche, LLP. The Registrant
anticipates filing its annual report on Form 10-K no later than July 14, 2000.
