The Company has changed the location of its corporate headquarters from
Toronto, Ontario. The Company's records are in a number of offices and
locations, including Brazil, and management has had difficulty in obtaining the
information for the preparation of the Form 10-QSB and preparing the Form 10-QSB
by the due date.
