The Company experienced difficulties in establishing final values from the
recent foreclosure involving assets previously owned by Strata, Inc. Due to this
delay the company ws not able to complete its consolidated financial statements
as soon as anticipated.

quarter 10-Q was finalized later than expected due to the Company providing
accounting information to us later than anticipated. The information ws delayed
due to significant accounting requirements relating to the acquisition of
Strata, Inc. towards the end of the quarter. To provide management with adequate
time to prepare the 10-Q we would advise that the Company request and extension
with the Securities and Exchange Commission for filing of its 10-Q.
