ITEM 2. Acquisition or Disposition of Assets.
On December 31, 1996, the Partnership received $1,686,449 in full and
complete satisfaction of a certain installment contract receivable further
described in Note 10 to the Partnership's financial statements included in the
1995 Form 10- K. Interest income of approximately $1,330,000, previously
unrecognized due to uncertainties surrounding the collectibility of the
installment contract receivable, will be recognized in the fourth quarter of
1996.
