State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period. (Attach Extra Sheets if Needed)
As previously disclosed in its filings with the Securities and Exchange
Commission, four holders of the Registrant's 9.5% Convertible Subordinated
Debentures Due September 19, 1997 filed an Involuntary Petition in Bankruptcy
against the Registrant in the United States Bankruptcy Court, District of New
Mexico, on November 1, 1996, alleging that the Registrant is generally not
paying its debts as they become due. The demands which have been imposed on the
relatively small staff of financial personnel of the Registrant to comply with
numerous document production requests and other matters relating to the many
Bankruptcy Court filings and hearings have prevented the financial personnel
from completing its collection, analysis and evaluation of all relevant
financial information in sufficient time to timely file its Form 10-Q for the
quarter ended December 31, 1996. Moreover, the Registrant has received from the
Staff of the Commission comments relating to prior filings and is still
determining the impact of such comments on its Form 10-Q filing.

and Regulations under the Securities Exchange Act of 1934.

thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
General Rules and Regulations under the Act. The information contained in or
filed with the form will be made a matter of public record in the Commission
files.
3. A manually signed copy of the form and amendments thereto shall be filed with
each national securities exchange on which any class of securities of the
registrant is registered.
