(1) FS Capital Partners, L.P. ("Capital Partners"), a California limited partnership, is the sole general partner of FS Equity
Partners III, L.P., a Delaware limited partnership, the record owner of 3,278,448 shares and warrants to purchase 351,585
shares, and may have the power to vote and dispose of the shares and the warrants. Capital Partners may be deemed to be the
beneficial owner of 124,015 shares and warrants to purchase 13,299 shares held by FS Equity Partners International, L.P. ("FSEP
International") for purposes of determining whether Capital Partners is a beneficial owner of more than ten percent of the
Common Stock of CB Commercial Real Estate Services Group, Inc. The reporting person disclaims beneficial ownership of the
shares and the warrants held by FSEP International and the shares reported except to the extent of its pecuniary interest
therein.
