INTERNATIONAL, INC. (THE "COMPANY") COMPLETED A PUBLIC OFFERING OF
THE COMPANY'S COMMON STOCK, $.01 PAR VALUE PER SHARE (THE "COMMON
STOCK"). THE PUBLIC OFFERING INCLUDED 2,100,000 SHARES OFFERED BY
THE COMPANY AND 300,000 SHARES OFFERED BY CERTAIN SELLING
STOCKHOLDERS OF THE COMPANY. THE COMPANY AND THE SELLING
STOCKHOLDERS ALSO GRANTED THE UNDERWRITERS AN OVER-ALLOTMENT OPTION
OF 360,000 ADDITIONAL SHARES OF COMMON STOCK. UPON COMPLETION OF
THE OFFERING, THE COMPANY HAD 30,734,718 SHARES OF COMMON STOCK
OUTSTANDING.
