covered by the Prospectus dated February 17, 1994 (Prospectus) and issuable
to Mr. Wilson in connection with the acquisition of Aerospace Optic by the
Company in February 1993. Of the 98,900 shares covered by this Prospectus
which have previously been issued to Mr. Wilson, all have been sold by him.
