ITEM 5. INTEREST IN SECURITIES OF THE ISSUER
(a) The Fund's Semi-annual report, dated July 30,1999,
states that, as of the close of business on June 30, 1999, there were
5,328,316 shares of Common Stock outstanding. The percentage set forth
in this Item 5(a) was derived using such number.
The Reporting Persons are the beneficial owners of
1,770,400 shares of Common Stock, which constitute approximately 33.2%
of the outstanding shares of Common Stock.
