     The  registrant  has recently  experienced a change in control via the sale
and conversion of its outstanding  Convertible Promissory Notes. Concurrent with
the change in control, two new executive officer  positions  have been appointed
that  require  additional  time for  transition.  For  complete  details  of the
transaction see Schedule 13-D filed by USIS Acquisition, LLC. on August 5, 1998.
