a registered investment adviser, may be deemed to
be the beneficial owner of 909,545 shares of the
issuer's common stock held in discretionary
accounts for various clients. JAHI's wholly-owned
broker-dealer subsidiary also holds immediately
exercisable warrants to purchase 350,000 shares of
the issuer's common stock pursuant to a Stock
Purchase Warrant dated December 31, 1996.
