         Due to the recent merger of the Registrant with the Accent Group, Inc.
         ("Accent"), completion of the Registrant's fiscal year end audit has
         taken a longer period of time than originally anticipated. As a result,
         the filing cannot be made within the prescribed time period without
         unreasonable effort or expense. The Registrant anticipates that the
         subject annual report will be filed on or before the fifteenth calendar
         day following the prescribed due date (on or before January 13, 2000).
