Item 5. Other Events.

As of October 7, 1999, the Company and its Rights Agent under the Rights
Agreement dated as of December 1, 1989, ChaseMellon Shareholder Services, L.L.C.
(as successor Rights Agent to Mellon Bank, N.A.), entered into an amendment to
the Rights Agreement which requires that any successor Rights Agent have at the
time of its appointment a combined capital and surplus of at least $10 million
rather than $50 million.
As of October 13, 1999 the Company removed ChaseMellon Shareholder
Services, L.L.C., as Rights Agent, and appointed the Company's transfer agent,
American Stock Transfer & Trust Company, as successor Rights Agent under the
Rights Agreement.
As of October 20, 1999 the Company and American Stock Transfer & Trust
Company entered into an amendment to the Rights Agreement which increases the
threshold required to become an Acquiring Person from beneficial ownership of
15% of the Common Shares of the Company to beneficial ownership of 20% of the
Common Shares of the Company. The Amendment also excepts certain Beneficial
Owners of 20% or more of the Common Shares of the Company from the definition of
an Acquiring Person if such Persons inadvertently acquired the Common Shares and
agree not to purchase more Common Shares (and in some instances agree to sell
Common Shares to reduce beneficial ownership below 20%) while holding more than
20% of the Common Shares. This amendment also extends the term of the Rights
Agreement by changing the Final Expiration Date from December 1, 1999 to
December 1, 2009.

Aerovox Incorporated
Extends Shareholder Rights Plan
NEW BEDFORD, MA (October 20, 1999) Aerovox Incorporated (Nasdaq.NM:ARVX)
announced today that its Board of Directors has approved a ten-year extension of
its existing shareholder rights plan. The Company also announced that the
threshold for triggering the shareholder rights plan has been raised to 20% and
a new rights agent has been appointed.
Robert Elliott, president and chief executive officer, commented, "The renewed
rights plan is designed to continue to protect stockholders from attempts to
acquire Aerovox on terms or by using tactics that could deny all stockholders
the opportunity to realize the full value of their investment. It also enhances
the ability of the Board of Directors to protect stockholder interests."
The Company has amended the plan to both permit the appointment of American
Stock Transfer & Trust Company as rights agent and to raise the threshold for
triggering the plan to 20%. If a person or group acquires beneficial ownership
of 20% or more of the then outstanding shares of the Company's Common Stock or
announces a tender or exchange offer that would result in such person or group
owning 20% or more of the then outstanding Common Stock, each right would
entitle its holder to purchase shares of the Company's Common Stock having a
market value of two times the exercise price of the right.
The Board of Directors may redeem the rights at the redemption price of $.01 per
right, subject to adjustment, at any time prior to December 1, 2009, the
expiration date of the rights.
Aerovox stated that the extension of the rights plan is not in response to any
outside effort to gain control of the Company, and that it is not aware of any
takeover attempt. The renewal of the rights plan will not affect the Company's
reported earnings per share.
The amendments to the shareholder rights plan will be filed as exhibits to the
Company's 8-K.
Aerovox Incorporated is a leading manufacturer of film, paper and aluminum
electrolytic capacitors. The Company sells its products worldwide, principally
to original equipment manufacturers as components in electrical and electronic
equipment. Aerovox has operations in New Bedford, MA; Huntsville, AL; Juarez and
Mexico City, Mexico; and Weymouth, England.

5.1. Amendment of Section 1(a). Section 1(a) of the Rights Agreement

is amended to read in its entirety as follows:
"Acquiring Person" shall mean any Person (as such term is
hereinafter defined) who or which, together with all
Affiliates and Associates (as such terms are hereinafter
defined) of such Person, shall be the Beneficial Owner (as
such term is hereinafter defined) of 20% or more of the
Common Shares of the Company then outstanding, but shall not
include (i) the Company, (ii) any Subsidiary (as such term
is hereinafter defined) of the Company, (iii) any employee
benefit plan of the Company or of any Subsidiary of the
Company, (iv) any Person organized, appointed or established
by the Company or any Subsidiary of the Company pursuant to
the terms of any plan described in clause (iii) above or (v)
any Person who (A) has reported or is required to report
such ownership on Schedule 13G under the Securities Exchange
Act of 1934 (the "Exchange Act") (or any comparable or
successor report) or on Schedule 13D under the Exchange Act
(or any comparable or successor report) which Schedule 13D
does not state any intention to or reserve the right to
control or influence the management or policies of the
Company or engage in any of the actions specified in Item 4
of such Schedule (other than the disposition of the Common
Shares), (B) within 10 Business Days of being requested
(including but not limited to, by telephone or facsimile) by
the Company to advise it regarding the same, certifies to
the Company that such Person acquired Common Shares in
excess of 19.9% inadvertently or without knowledge of the
terms of the Rights, provided, however, that if the Person

requested to so certify fails to do so within 10 Business
Days, then such Person shall become an Acquiring Person
immediately after such 10 Business Day Period, (C) together
with all of such Person's Affiliates, thereafter does not
acquire additional Common Shares while the Beneficial Owner
of 20% or more of the Common Shares then outstanding and (D)
if requested to do so by the Company, within a specified
number of Business Days (to be specified by the Company, but
in no case fewer than ten) following such request (including
but not limited to, by telephone or facsimile) from the
Company to such Person, reduces its Beneficial Ownership of
Common Shares to below 20% of the Common Shares then
outstanding provided, however, that if the Person requested

to so reduce its Beneficial Ownership fails to do so within
such specified number of Business Days, then such Person
shall become an Acquiring Person immediately after such
specified number of Business Days. Notwithstanding the
foregoing, no Person shall become an "Acquiring Person" as
the result of an acquisition of Common Shares by the Company
which, by reducing the number of shares outstanding,
increases the proportionate number of shares beneficially
owned by such Person to 20% or more of the Common Shares of
the Company then outstanding; provided, however, that if a

Person shall become the Beneficial Owner of 20% or more of
the Common Shares of the Company then outstanding by reason
of share purchases by the Company and shall, after such
share purchases by the

benefit plan of the Company), then such Person shall be deemed to be
an "Acquiring Person".
5.2. Amendment of Section 7(a). Section 7(a) of the Rights Agreement

(the "Final Expiration Date"), (ii) the time at which the Rights
are redeemed as provided in Section 23 hereof (the "Redemption
