1 The Registrant's Share Purchase Rights (the "1988 Rights") expired on
June 24, 1996, pursuant to the terms of the Rights Agreement, as
amended and restated as of October 24, 1989 (the "1989 Rights
Agreement"), between the Registrant and Ameritrust Company National
Association, as Rights Agent.
2 These Share Purchase Rights (the "1996 Rights"), were issued pursuant
to the Rights Agreement, dated June 25, 1996, between the Registrant
and The First National Bank of Boston. The 1996 Rights will issue at
the close of business on July 8, 1996 to the shareholders of record on
that date. The Registrant filed a Form 8-A to register the 1996 Rights
on June 27, 1996.
