financial resources necessary to pay for the preparation of the Report and
accompanying audited financial statements during an unanticipated, severe cash
shortage.

Rules and Regulations under the Securities Exchange Act of 1934.

thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the General
Rules and Regulations under the Act.  The information contained in or filed
